Minerva Group Maintains Stable Share Base in May 2026, Affirms 25% Public Float Compliance

Minerva Group Holding Limited (“Minerva Group”) has released its monthly return for the period ended 31 May 2026, confirming no changes in share capital and continued adherence to public-float requirements.

Authorised and Issued Capital • Authorised share capital remained at 30.00 billion ordinary shares with a HKD 0.01 par value, equivalent to HKD 300.00 million. • Issued shares were unchanged at 2.28 billion, all listed on the Stock Exchange of Hong Kong under code 00397. • The company held zero treasury shares, with no issuances, cancellations or repurchases recorded during the month.

Public Float Status Minerva Group confirmed that it satisfied the Main Board’s minimum public-float threshold of 25% as of month-end.

Share-based Incentives • Under the 2023 New Share Option Scheme, no options were granted, exercised or cancelled in May. • The pool of shares available for future grants stands at 278.36 million; no funds were raised through option exercises. • The group reported no outstanding warrants, convertible instruments or other equity-linked agreements.

Regulatory Compliance Company Secretary Chu Ho Man stated that all activities during the month complied with Hong Kong listing rules and relevant legal requirements.

With its authorised and issued share figures unchanged and public-float levels intact, Minerva Group enters June 2026 with a stable capital structure and no dilution to existing shareholders.
