Beisen Holding Issues 46,000 New Shares Under Option Plan, Repurchases 300,000 Shares for HK$1.09 Million

Beisen Holding Limited released a Next Day Disclosure Return dated 24 June 2026 detailing simultaneous equity issuance and share repurchase activities that marginally reshaped its capital structure.

On 24 June 2026 the company allotted 46,000 new ordinary shares pursuant to its Pre-IPO Share Option Plan (adopted 15 July 2019). The shares were issued at HK$0.00008 each, expanding the total share count to 736.61 million. The new issue represented 0.0063% of the 729.92 million outstanding shares (excluding treasury shares) prior to the transaction.

On the same trading day Beisen repurchased 300,000 ordinary shares on the Hong Kong Stock Exchange at prices between HK$3.60 and HK$3.70, for an aggregate consideration of HK$1.09 million. All repurchased shares are being held as treasury stock; none have yet been cancelled. The company’s treasury share balance therefore increased from 6.64 million to 6.94 million.

Net of these movements, the number of issued shares outstanding (excluding treasury shares) fell by 254,000 to 729.67 million. Total issued shares, inclusive of treasury holdings, rose slightly by 46,000 to 736.61 million.

The repurchase formed part of the mandate granted on 18 September 2025, which authorises the company to buy back up to 70.12 million shares. Cumulative purchases under this mandate now total 11.71 million shares, equivalent to 1.67% of the issued share capital on the mandate date. In line with Hong Kong listing rules, Beisen is restricted from issuing new shares or disposing of treasury shares until 24 July 2026.
