LUXSHARE ICT fixes HK$63.28 IPO price, raises HK$24.27 billion ahead of 9 July Hong Kong debut

Luxshare Precision Industry Co., Ltd. (stock short name: LUXSHARE ICT) has finalised its Hong Kong listing terms, pricing its 383.47 million-share Global Offering at HK$63.28 per H share and securing gross proceeds of HK$24.27 billion. Net proceeds after estimated expenses are expected to reach HK$24.04 billion. The H shares will start trading on the Stock Exchange on 9 July 2026 under stock code 02475, in board lots of 100 shares.

Offering structure and demand • Total H shares: 383.47 million (10% Hong Kong Public Offering; 90% International Offering), with a 57.52 million-share over-allotment option. • Hong Kong Public Offering: 38.35 million shares, 3.78-times subscribed; all 47,308 valid applicants received allocations. • International Offering: 345.13 million shares, 9.46-times subscribed across 294 placees.

Capital base and market capitalisation • Shares in issue at listing: 7.70 billion. • Expected public float market value: HK$24.27 billion, comfortably above the HK$3 billion threshold required by the Hong Kong Listing Rules.

Cornerstone tranche Eighteen cornerstone investors took 185.74 million shares, representing 48.44% of the H-share tranche and 2.41% of the enlarged share capital. Key participants include Taibai Investments (19.81 million shares), HHLR Advisors (26.62 million including CPP Investments account), GIC (18.57 million) and ADIA (5.57 million). All cornerstone shares are subject to a six-month lock-up ending 8 January 2027.

Shareholding concentration The top 25 placees account for 61.46% of the Offer Shares, while the single largest placee holds 14.69% of the H-share tranche. The Exchange has cautioned that high concentration could lead to share-price volatility.

Lock-up commitments Controlling shareholders Luxshare Limited and its beneficial owners, Ms Wang Laichun and Mr Wang Laisheng, will be subject to a 12-month lock-up, with partial restrictions lifting after six months. Cornerstone investors face a six-month lock-up.

Regulatory compliance Post-listing, no individual placee will hold 10% or more of the enlarged share capital, at least 300 shareholders will hold H shares, and the free-float requirement under Listing Rule 19A.13C is satisfied. Dealings will become effective once the Global Offering becomes unconditional; share certificates are valid from 8:00 a.m., 9 July 2026.
