Ruichang International Holdings Limited (Ruichang Intl, 01334) has issued a notice convening its 2026 Annual General Meeting (AGM) for 10:00 a.m. on 22 May 2026 at the Manhattan Conference Room, Kaike International Building, Shanghai.
Key resolutions to be tabled are as follows:
1. FY-2025 Results Adoption • Shareholders will vote on adopting the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.
2. Board Composition • Re-election of two executive directors—Mr Shao Song and Ms Wu Rui—and two independent non-executive directors—Mr Bau Siu Fung and Mr Jiang Li. • The Board seeks authority to fix directors’ remuneration.
3. Auditor Re-appointment • Renewal of Zhonghui Anda CPA Limited as external auditor, with remuneration to be set by the Board.
4. Dividend Proposal • A final dividend of RMB0.04 per share (tax inclusive) for FY-2025 is proposed. • Subject to approval, the share register will close from 8 July 2026 to 10 July 2026, with 10 July 2026 as the record date.
5. Share Issuance Mandate • Directors seek a general mandate to allot, issue or deal in additional shares and transferable treasury shares up to 20% of the company’s issued share capital as at the date of the AGM. • The mandate covers the grant of options, warrants and convertible securities and remains effective until the next AGM or earlier revocation.
6. Share Repurchase Mandate • A parallel mandate would permit on-market share repurchases up to 10% of issued share capital (excluding treasury shares). • The repurchase authority runs for the same “Relevant Period” as the issuance mandate.
7. Mandate Extension • Conditional on both mandates passing, the issuance limit may be increased by the number of shares actually repurchased, capped at an additional 10% of issued shares.
Administrative dates: • AGM attendance: Share register closed 19 May 2026–22 May 2026; record date 22 May 2026. • Proxy forms must be lodged at Computershare Hong Kong Investor Services by 4:30 p.m. on 20 May 2026.
As of the notice date (30 April 2026), the Board comprises five executive directors, including Chairman and CEO Mr Lu Bo, and three independent non-executive directors.
