HSBC Holdings plc (HSBC) disclosed that on 19 August 2026 it granted conditional share awards covering 286,184 ordinary shares under the HSBC Share Plan 2011. The awards were extended to current and former employees, with no purchase price payable.
The reference market price for the awards was GBP 14.972 per share, based on the London Stock Exchange closing price on the grant date. Vesting will typically occur over three years—33% on the first and second anniversaries and 34% on the third. Material Risk Takers may face vesting horizons of up to five years, and most awards carry a 12-month post-vesting retention requirement. Immediately vested portions, issued to meet UK remuneration rules, are also locked up for 12 months.
Select grants are tied to completion of strategically important projects; otherwise, no performance hurdles apply because the awards serve as deferred bonus instruments. All awards remain subject to HSBC’s claw-back policy, mirroring the terms of any forfeited awards replaced for new hires where relevant. The company will provide no financial assistance to participants for share acquisition.
Capacity under the HSBC Share Plan 2011 remains substantial. Up to 1.11 billion shares may still be issued within the 10% rolling limit, and 357.24 million shares are available under the separate 5% limit.
