China Oil & Gas Group Limited has issued the proxy form and notice for its 2026 Annual General Meeting (AGM), scheduled for 15 May 2026 at 2:00 p.m. on the 15th Floor of Xinhai Central International Business Center, Zhuhai, Guangdong. Shareholders holding shares of HK$0.01 each are invited to attend or appoint proxies to participate and vote.
Key items for shareholder approval include:
1. Financial Statements • Consideration of the audited financial statements and the directors’ and auditor’s reports for the financial year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of Ms Guan Yijun and Ms Xu Ran as executive directors. • Re-election of Ms Liu Zhihong as an independent non-executive director. • Authorisation for the board to determine directors’ remuneration.
3. Auditor Appointment • Re-appointment of KPMG as external auditor and authorisation for the board to fix its remuneration.
4. Share Capital Authorities • General mandate permitting directors to issue new shares. • General mandate permitting directors to repurchase the company’s shares. • Extension of the issuance mandate by the number of shares repurchased under the buy-back authority.
Administrative Details Shareholders may appoint the Chairman of the Meeting or another proxy to vote on their behalf and can direct votes for or against each resolution. Completed proxy forms, together with any relevant authority documents, must be lodged with Computershare Hong Kong Investor Services Limited (17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong) no later than 48 hours before the meeting. Joint holders may vote through the holder whose name appears first in the register of members.
Completion and return of the proxy form will not preclude shareholders from attending and voting in person at the AGM or any adjournment thereof.
