Shenzhen SDMC Technology Co., Ltd. (SDMC) announced board approval for a senior management reshuffle effective 20 August 2026. Incumbent joint company secretary and authorised representative Li Jianyi will step down to pursue other commitments. The board confirmed that Li has no disagreements with directors and no matters require shareholder attention.
Executive Director Dang Hui, aged 50, will assume the dual roles of joint company secretary and authorised representative on the same date. Dang, who joined SDMC in May 2021 and currently heads the financial management department, previously held senior finance posts at ZTE Corporation, Shenzhen Coship Electronics and Zhengzhong Real Estate Group.
Despite Dang not yet meeting the formal academic or professional criteria for company secretary stipulated under Hong Kong Listing Rules 3.28 and 8.17, the Stock Exchange has granted SDMC a three-year waiver. Conditions include: 1) Dang will work alongside existing joint company secretary Pau So Yi, a qualified chartered secretary at Tricor Services Limited, throughout the waiver period; and 2) the waiver may be revoked upon any material Listing Rules breach.
Before the waiver expires, SDMC must demonstrate that Dang has acquired sufficient relevant experience to fulfil the company secretary role independently.
The board expressed appreciation for Li Jianyi’s contributions and welcomed Dang Hui to her expanded responsibilities. Following the change, SDMC’s board consists of four executive directors—including Dang—and three independent non-executive directors.
