Breton Technology to Vote on RMB1.00 Billion Financing Headroom, US$30 Million Subsidiary Loan and 20% Issuance Mandate at 25 June AGM

Breton Technology Co., Ltd. (Breton) has released its AGM circular dated 4 June 2026, detailing nine resolutions for shareholder approval at its 2025 Annual General Meeting scheduled for 25 June 2026 in Shanghai.

Key agenda items are as follows:

1. 2025 Results & Profit Allocation • Shareholders will be asked to adopt the auditor’s report for the year ended 31 December 2025. • No dividend or capitalisation issue is proposed for FY 2025, as the Board cites the need to preserve cash for business expansion and long-term growth.

2. Board Composition Changes • Nomination of Mr Chen Guomin, currently deputy GM of Hunan subsidiary and brother of Chairman Chen Fangming, as Executive Director. • Nomination of Dr Tim Sun, veteran mining executive and president of Hong Kong International Mining Association, as Independent Non-Executive Director and Audit Committee member. Dr Sun will receive an annual director’s allowance of HK$300,000.

3. Expanded 2026 Financing Framework • Existing aggregate borrowing limit with banks and financial institutions to rise from RMB800 million to RMB1.00 billion (or foreign-currency equivalent). • Financing channels will include loans, acceptances, trade finance, finance leases and sale-and-lease-back; facilities remain revolving until 31 December 2026.

4. New Medium-Term Loan for DRC Solar Project • Indirect subsidiary LA VOIE LACTEE ENERGIE plans to secure up to US$30 million in 36-month loans from BGFI Bank at a fixed 10.25% rate, supporting its 74 MW off-grid solar plant in Haut Katanga, Democratic Republic of the Congo. Breton will provide requisite guarantees and credit enhancement.

5. Capital Management Mandates • Share Issue Mandate: Board may issue, allot or deal with up to 20% of existing share capital, equal to 77.79 million shares, before the next AGM. • Share Repurchase Mandate: Board may buy back up to 10% of H-shares outstanding, or 35.67 million shares, subject to PRC and HKEX approvals. Repurchased shares may be cancelled or held as treasury stock.

6. Share Capital Snapshot • Total shares outstanding: 389.65 million (32.28 million Domestic; 357.38 million H shares). • Treasury shares: 0.71 million H shares already repurchased in February 2026 at HK$20.24–21.40. • Current controlling shareholders collectively hold 32.00% of voting rights; full exercise of the repurchase mandate would lift their stake to 35.23%, still within public-float requirements.

Shareholders on record as of 25 June 2026 may attend and vote. Proxy forms must reach Tricor Investor Services or Breton’s PRC office by 4:00 p.m. on 24 June 2026.
