Bank of Gansu (02139) will hold its 2025 annual general meeting (AGM) on 30 June 2026 in Lanzhou. Shareholders will vote on 14 ordinary and special resolutions, including adoption of the 2025 financial statements, a cash-dividend plan, auditor appointment, a rural-bank merger and a general share-issuance mandate.
Financial highlights • 2025 total assets rose 5.11 % to RMB435.90 billion, while total liabilities increased 5.42 % to RMB401.52 billion. • Net loans stood at RMB229.62 billion, down 0.78 %; customer deposits grew 5.01 % to RMB337.47 billion. • Net profit reached RMB591 million; the non-performing loan ratio was 1.93 %. • Capital adequacy ratio came in at 12.07 %; provision coverage ratio was 130.83 %.
Dividend proposal The Board recommends a cash dividend of RMB1.18 per 10 shares (tax inclusive), equivalent to a total payout of approximately RMB1.78 billion. The register of members will close from 15 July to 20 July 2026; shareholders on record at close of business on 20 July 2026 are entitled to the dividend, payable on or around 28 August 2026.
Auditor rotation After a decade-long engagement, ShineWing will retire. Directors propose appointing Baker Tilly China Certified Public Accountants LLP (and Baker Tilly Hong Kong) as domestic and overseas auditor for 2026, at an annual fee of RMB4.58 million.
Strategic merger The Bank seeks shareholder approval to absorb and merge its 62.73 %-owned Pingliang Jingning Chengji Rural Bank. All assets, liabilities and operations of the rural bank would be taken over by Bank of Gansu, which will establish a branch in its place. The purchase price for the remaining 37.27 % minority stake is estimated at RMB17.96 million, subject to final appraisal and regulatory consent.
General share-issuance mandate Directors request authority to issue new shares—H or domestic—up to 20 % of the Bank’s existing share capital during the 12-month period following the AGM. The mandate includes issuing securities convertible into shares and options, excluding warrants issued for cash.
Other agenda items • 2026 financial budget set at RMB2.18 billion for operating expenses and RMB208.41 million for capital expenditure. • Proposed amendments to the Rules of Procedure for the Board and General Meetings to align with updated PRC Company Law and regulatory changes. • Election of Mr Shi Hailong—currently President and Deputy Party Secretary—as an Executive Director of the fourth Board, subject to regulatory approval. • Remuneration settlement for 2025: Chairman Liu Qing received RMB8.71 million (pre-tax), while Independent Directors each received allowances ranging from RMB0.36 million to RMB1.43 million.
