VOICECOMM Completes Allocation of 4.13 Million Subscription Shares, Raising Approximately HK$191 Million Net

VOICECOMM (02495) has announced that all conditions under Subscription Agreement A have been fulfilled. The completion of Transaction A took place on April 27, 2026. Pursuant to the agreement, the company has allotted and issued 4.1348 million subscription shares to Subscriber A at a subscription price of HK$46.3 per share. The net proceeds from Subscription A amount to approximately HK$191 million.

As previously disclosed, the company intends to allocate the net proceeds from Subscription A for the following purposes: Approximately 50% of the funds will be allocated to research and development to enhance the company's technological capabilities and drive product innovation. This includes (a) developing a multi-modal fusion architecture based on meta-models, and (b) creating intelligent agents with continuous learning capabilities and a multi-agent collaborative technology system. The remaining 50% of the proceeds will be used for working capital and general corporate purposes. These include (a) covering employee salaries, social security, housing provident fund, and other personnel expenses; (b) procuring hardware, equipment, and services necessary for core business operations; (c) repaying bank loans; and (d) covering other administrative expenditures.
