MARKETINGFORCE Completes Share Placement, Raising Approximately HK$499.7 Million Net

MARKETINGFORCE (02556) has announced the completion of its proposed placement of 12,333,400 shares. All conditions precedent under the respective subscription agreements have been satisfied, and the subscriptions were completed on May 20, 2026, in accordance with the terms and conditions of each agreement. A total of 12,333,400 shares, representing approximately 4.61% of the company's issued share capital (excluding treasury shares) as enlarged by the allotment and issuance of the subscription shares, have been allotted and issued to the subscribers at a subscription price of HK$40.54 per share. The gross proceeds from the subscription amount to approximately HK$500 million, with net proceeds (after deducting all applicable costs and expenses) of approximately HK$499.7 million. The group plans to allocate 100% of the net proceeds to invest in the construction and operation of intelligent computing infrastructure. This includes, but is not limited to, the procurement of GPU servers, networking, AIDC leasing, and the development and deployment of various AI large models and model management platforms, along with other related intelligent computing software. This investment aims to solidify the computational foundation for the group's "Full-Stack Token Factory" strategy, primarily to meet customer demand for AI application computing power, enhance the training efficiency of the group's proprietary vertical models, and further integrate the "computing power + application scenario" business cycle. Based on its current assessment of future market conditions and business plans, the group will prudently utilize the net proceeds over the next seven months and expects to fully deploy the funds by the end of 2026. Any portion of the net proceeds not immediately used for the purposes stated above will be deposited into short-term interest-bearing accounts with licensed commercial banks and/or other authorized financial institutions as defined by the Securities and Futures Ordinance.
