BioDlink International Company Limited (BioDlink) disclosed that, effective 29 April 2026, five directors—including Chairperson and Executive Director Shan Fu—have resigned in the wake of the company’s change of control after WuXi XDC Cayman Inc. became its controlling shareholder. Departing members also include Non-executive Director Weidong Liu and Independent Non-executive Directors Hui Sun, Qing Zhang and Xuelin Gu. All resigning directors cited no disagreement with the board and no outstanding issues requiring shareholder attention.
Concurrently, BioDlink appointed five new directors: • Dr. Jincai Li — Executive Director, Chairperson of the Board, and Chair of both the Nomination and Strategy & ESG Committees; also joins the Remuneration Committee. • Xiaojie Xi — Non-executive Director, member of the Audit & Connected Transactions Review Committee and the Strategy & ESG Committee; also becomes an authorised representative under Listing Rule 3.05. • Xin Fan — Independent Non-executive Director; chairs the Audit & Connected Transactions Review Committee and joins the Remuneration Committee. • Dr. Ulf Grawunder — Independent Non-executive Director; chairs the Remuneration Committee and joins both the Nomination and Strategy & ESG Committees. • Dr. Chaohong Hu — Independent Non-executive Director; joins the Audit & Connected Transactions Review Committee and the Nomination Committee.
Service contracts for all new directors run for three years and may be terminated with one-month written notice. Dr. Li and Mr. Xi will draw no additional director fees, while Mr. Fan, Dr. Grawunder and Dr. Hu will each receive an annual fee of HK$0.45 million.

After the changes, BioDlink’s board consists of five members—one executive, one non-executive and three independent non-executive directors—meeting the requirement under Listing Rule 3.10A that independents comprise at least one-third of the board.
