Guangzhou Baiyunshan Pharmaceutical Holdings Company Limited (“Baiyunshan Pharma”) has proposed a refreshed 11-seat board structure ahead of the tenth session, to be voted on at the 2025 annual general meeting (AGM).
The board endorsed 10 candidates—five executive, one non-executive and four independent non-executive directors—during its 35th meeting on 7 May 2026. One employee-elected director will be selected separately by staff, in line with the company’s articles of association.
Key nominations • Executive directors: incumbents Chen Jiehui, Cheng Hongjin and Tang Heping are slated for re-election, while Liu Lan and Yuan Cheng are new additions. • Non-executive director: Huang Jiyuan is a new nominee. • Independent non-executive directors: existing members Wong Lung Tak Patrick and Sun Baoqing will continue, joined by newcomers Wu Xiangneng and Yang Yinbao.
Board changes Current chairman Li Xiaojun, executive director Li Hong, and independent non-executive directors Chen Yajin and Huang Min will retire at the AGM and will not seek re-election.
Tenure and remuneration • Each elected director will serve a three-year term beginning on the AGM date. • Four senior managers seconded from controlling shareholder Guangzhou Pharmaceutical Holdings Limited (GPHL)—Chen Jiehui, Cheng Hongjin, Tang Heping and Liu Lan—will draw no remuneration from Baiyunshan Pharma for 2026. • Yuan Cheng’s 2026 package is capped at RMB1.45 million (pre-tax). • Huang Jiyuan will receive no director’s fee from the company. • Independent non-executive directors are expected to earn RMB0.15 million each for 2026.
Compliance All independent nominees meet the independence criteria under Hong Kong Listing Rules, and no nominee reported connected relationships, shareholdings or other matters requiring disclosure.
