Pacific Century Regional Developments Limited has agreed to sell its entire indirect 49.87% holding in India’s KSH Distriparks Private Limited to Delhi International Cargo Terminal Private Limited, a subsidiary of J M Baxi Container Holdings, for about 19.322 million Singapore dollars in cash.
Under the share purchase agreement signed on Aug, 21 2026, PCRD Services Pte Ltd, a wholly-owned subsidiary of the group, will transfer 24,915,037 KDPL shares to the buyer. The consideration, subject to customary pre- and post-closing adjustments, was reached on an arm’s-length, willing-buyer willing-seller basis and is calculated mainly on KDPL’s EBITDA, capital expenditure, net debt and working-capital position.
The divested shares had a book value of roughly 11.960 million Singapore dollars and a net asset value of about 7.055 million Singapore dollars as at Jun, 30 2026. PCRD expects an estimated disposal gain of 4.702 million Singapore dollars and an excess of proceeds over book value of around 7.362 million Singapore dollars.
Proceeds will be used for general corporate purposes, including potential debt repayment and shareholder dividends. Pro forma calculations based on FY2025 figures indicate the transaction would lift group net tangible assets per share from 0.240 Singapore cents to 0.575 Singapore cents and narrow loss per share from 0.85 Singapore cents to 0.60 Singapore cents.
Completion is targeted by Oct, 15 2026, with an option for the buyer to extend to Jan, 15 2027, subject to conditions such as approvals from Maharashtra Industrial Development Corporation and lender consents. PCRD said no directors or controlling shareholders have any interest in the deal beyond their stakes in the company.
