JY Grandmark AGM: All Resolutions, Including 20% Issuance and 10% Buy-back Mandates, Pass with 100% Support

JY Grandmark Holdings Limited (JY Grandmark) reported that every agenda item tabled at its Annual General Meeting on 28 May 2026 received unanimous approval.

A total of 672.84 million shares—100.00% of votes cast and equal to approximately 40.88% of the company’s 1.65 billion issued shares—were voted in favour of all 10 ordinary resolutions. No votes were recorded against any item.

Key outcomes:

• FY2025 Results Adopted: Shareholders received and approved the audited consolidated financial statements for the year ended 31 December 2025, together with the Directors’ and auditor’s reports.

• Board Composition Maintained: Non-executive Director Shek Lai Him, Abraham; Executive Directors Liu Huaxi, Zheng Catherine Wei Hong and Yu Jiafeng; and Independent Non-executive Director Wu William Wai Leung were all re-elected.

• Remuneration Control: The Board was authorised to determine directors’ remuneration.

• Auditor Re-appointment: McMillan Woods (Hong Kong) CPA Limited will continue as independent auditor, with the Board authorised to fix its fees.

• Capital Management Mandates: – General mandate to issue new shares up to 20% of issued capital. – Share repurchase mandate up to 10% of issued capital. – Extension allowing any repurchased shares to be added to the issuance mandate.

Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll. All directors attended the meeting in person.
