Hysan Development Reports No Share Capital Changes in May; Affirms Public Float Compliance

Hysan Development Company Limited filed its monthly return (Form FF301) for the period ended 31 May 2026, confirming that its share structure and public float remain unchanged and fully compliant with Hong Kong Stock Exchange requirements.

The issuer closed May with 1.03 billion ordinary shares in issue and no treasury shares, identical to the previous month’s position. Throughout the period, the company did not issue, cancel, repurchase, or convert any shares, resulting in a net change of zero in both issued and treasury shares.

Management also reconfirmed that the public float exceeds the Main Board’s minimum 25% threshold, satisfying Rule 13.32B of the Listing Rules.

Under the Share Option Scheme adopted on 15 May 2015, outstanding options declined to 5.66 million after 0.18 million lapsed during the month. No options were exercised, therefore no new shares were issued and no proceeds were raised.

The company reported no outstanding warrants, convertibles, or other equity-linked instruments, and no additional agreements or arrangements to issue shares.

Company Secretary Chow Lai Kwan affirmed that all regulatory and listing-rule requirements were met for the month under review.
