MicroPort CardioFlow Sets 4 June 2026 AGM; Seeks 10% Buy-Back, 20% Issue Mandates and Confirms KPMG Re-appointment

MicroPort CardioFlow Medtech Corporation (MP CardioFlow-B, 02160) has issued its 2026 AGM circular, detailing capital management proposals, board changes and auditor arrangements ahead of the meeting scheduled for 10:00 a.m. on 4 June 2026 at the company’s Shanghai headquarters.

Capital mandates • Repurchase authorisation: Directors request a fresh mandate to buy back up to 10% of issued share capital (excluding treasury shares) as at the AGM date, equal to 127.33 million shares. • Issuance authorisation: A separate mandate would allow the board to allot, issue or deal in up to 20% of issued share capital, or 254.66 million shares. An additional resolution seeks to extend this limit by the amount of any shares bought back under the repurchase mandate. • The board states it has no immediate plans to exercise either authority.

Board composition Six directors retire by rotation. Five—Co-Chairman Dr Brian Chang, President Mr Philippe Wanstok, Non-executive Director Mr Deng Aoyi, and Independent Non-executive Directors Dr Hu Bingshan and Mr Jonathan H. Chou—offer themselves for re-election. Non-executive Director Ms Wu Xia will step down and will not stand for re-election.

Auditor Re-appointment of KPMG as external auditor for the year ending 31 December 2026 is proposed, with an estimated audit fee ranging between USD 0.90 million and USD 1.20 million.

Key share data and timetable • Shares in issue: 1.27 billion. • Register of members closes 1–4 June 2026 (both days inclusive); shareholders must lodge transfers by 4:30 p.m. on 29 May 2026 to qualify for attendance and voting rights.

Major shareholders as at 6 May 2026 included MicroPort International (26.97%), Shanghai MicroPort (17.48%) and Sino Rhythm (9.56%). The company notes that full utilisation of the buy-back mandate would not trigger a mandatory offer under Hong Kong’s Takeovers Code nor reduce public float below required levels.

Shareholders will vote on all resolutions by poll at the AGM; proxy forms must be submitted no later than 10:00 a.m. on 2 June 2026.
