CHIHO ENV (00976) has released an announcement regarding a transaction. The board noted that on July 31, 2026, Derichebourg S.A. issued a press release stating the transaction was completed on the same day. According to the release, the enterprise value of the transaction is 480 million euros.

Revenue generated by the Scholz Group accounted for approximately 90% of the group's total revenue for the six months ended June 30, 2024. As detailed in the company's interim report for the same period, segment revenue and profit from Europe were approximately HK$8.098 billion and HK$190.9 million, respectively. In Asia, these figures were approximately HK$867 million and HK$5.4 million, while North America's contribution was negligible.

As of the announcement date, the company has not received any information from the receiver regarding the transaction. However, based on currently available information, the board believes the Scholz Group is material to the group's operations. If the transaction is completed, while the group may realize a one-time gain from it, the company will face a significant decline in revenue and operating profit.

Upon completion of the transaction, the Scholz Group's member companies will cease to be subsidiaries of the company, and the Scholz Group's financial results will no longer be consolidated into the group's financial statements. The company is consulting its advisors on actions to be taken regarding the transaction and is making further inquiries with the receiver.
