Xinyi Glass Offers Scrip Alternative for FY2025 Final Dividend of HK$0.215 per Share

Xinyi Glass Holdings Limited will distribute a final dividend of HK$0.215 per share for the financial year ended 31 December 2025, giving shareholders the choice of cash or new fully-paid shares under a scrip dividend scheme.

• Pricing of Scrip Shares: HK$9.25 each, set at 95% of the HK$9.74 average closing price for 2-8 June 2026 (five trading days prior to the 8 June record date).

• Basis of allotment: for each existing share elected, shareholders receive 0.002324 Scrip Shares (HK$0.215 / HK$9.25), rounded down to the nearest whole share; fractional entitlements will be retained by the company.

Timetable • Record date: 8 June 2026 (register closed 4–8 June). • Election deadline: 4:30 p.m. on 14 July 2026 (subject to weather-related contingencies). • Despatch of scrip share certificates and cash dividend warrants: 29 July 2026. • First trading day of Scrip Shares: 30 July 2026, pending Stock Exchange listing approval.

Financial impact • Shares in issue at record date: 4.42 billion. • If all shareholders opt for cash: total payout of HK$951.18 million. • If all elect scrip: 102.83 million new shares will be issued, expanding share capital by 2.27%.

Other information • The scheme is open to all eligible shareholders; one PRC-registered shareholder (100 shares) and 569.31 million shares held via Southbound Stock Connect are eligible under local regulations. • No special arrangements for odd-lot matching are planned. • The offer requires Hong Kong Stock Exchange approval for listing and dealing in the new shares; if approval is not granted, the dividend will be paid entirely in cash.

Shareholders wishing to receive Scrip Shares must return the completed election form to Computershare Hong Kong Investor Services by the stated deadline; otherwise, the dividend will be paid fully in cash.
