MAXNERVA TECH (01037) to Change Hands as Foxconn Offers Premium of Approximately 55.46% in Full Takeover Bid

MAXNERVA TECH (01037) and the offeror, Foxconn (Far East) Limited, have jointly announced that on July 27, 2026, the offeror intends to acquire approximately 239 million shares of the company from FSK and FDG Fund. This represents around 33.85% of the issued shares as of the date of this announcement, with a total cash consideration of about HKD 152 million, or approximately HKD 0.6374 per sale share.

Immediately following the completion of the share purchase agreement, the offeror will directly hold a total of approximately 286 million shares, representing about 40.46% of the total issued shares as of the announcement date. FSK and FDG Fund will each hold no further shares in the company.

The share offer is priced at HKD 0.6374 per share, representing a premium of approximately 55.46% over the closing price of HKD 0.41 per share as quoted on the Stock Exchange on the last trading day. The offeror is a direct wholly-owned subsidiary of Hon Hai (Foxconn) and its principal business is investment holding.
