Kanzhun Limited (BOSS Zhipin) has issued a circular convening its 2026 annual general meeting, scheduled for 3:00 p.m. Beijing time on 25 June 2026 at the Crowne Plaza Beijing Sun Palace.
Key proposals to be put to vote:
1. General Mandates • Issue Mandate: Directors may allot, issue, sell or transfer treasury Class A ordinary shares up to 10% of outstanding shares, equivalent to a maximum 96.69 million Class A shares based on the latest share count of 966.95 million. Issue price must not exceed a 10% discount to the benchmarked price. • Repurchase Mandate: Authority to repurchase up to the same 10% ceiling, also 96.69 million Class A shares or the equivalent ADSs. Both mandates will run until the earlier of the next AGM, the statutory time-limit for holding the next AGM, or shareholder revocation.
2. Board Composition • Executive directors Peng Zhao (Chairman & CEO), Tao Zhang (CTO) and Yang Mu (VP Human Resources), plus independent non-executive director Yan Li, will stand for re-election. • The Nomination Committee recommends their return, having confirmed Yan Li’s independence under Listing Rule 3.13.
3. Auditor • Re-appointment of PricewaterhouseCoopers and PricewaterhouseCoopers Zhong Tian LLP through the 2026 financial year, with an estimated audit fee of RMB12.00 million.
4. Charter Amendments • Adoption of a sixteenth amended and restated memorandum and articles of association to embed weighted-voting-rights provisions required by Listing Rule 8A.44 and make housekeeping updates.
5. Meeting Logistics • Share record date: close of business 21 May 2026 (Hong Kong time). • ADS record date: close of business 21 May 2026 (New York time). • Proxy deadline: 3:00 p.m. Hong Kong time, 23 June 2026 for registered shareholders; ADS voting instructions due by the time specified on Citibank’s card. • All resolutions will be decided by poll. Weighted voting applies: each Class A share carries one vote; each Class B share carries ten, except on reserved matters where each carries one.
As of the latest practicable date, Kanzhun’s share capital comprises 840.42 million Class A and 126.53 million Class B shares. Founder Peng Zhao controls approximately 60.11% of voting rights through Class B holdings. Treasury-share holders, if any, will abstain from voting.
