Biren Tech raises HK$7.04 billion via H-share placement; issued capital expands to 2.59 billion shares

Shanghai Biren Technology Co., Ltd. (Biren Tech) has completed its previously announced placement of new H shares under the existing general mandate.

The company issued 153.00 million new H shares at HK$46.20 each, increasing the H-share float by 12.74% and the total share base by 6.27% prior to the issue. Gross proceeds reached HK$7.07 billion, while net proceeds, after deducting commissions and estimated expenses, amounted to approximately HK$7.04 billion.

Post-placement, Biren Tech’s issued share capital has risen to 2,591.86 million shares, comprising 1,238.01 million unlisted shares (47.77% of total) and 1,353.85 million H shares (52.23% of total). The new investors—no fewer than six independent placees—collectively hold 153.00 million H shares, or 5.90% of the enlarged share capital. No placee became a substantial shareholder under Hong Kong listing rules.

Concurrently, the board approved amendments to the company’s Articles of Association to reflect the enlarged registered capital of RMB51.84 million and the new share capital structure. Relevant filings will be completed with regulatory authorities in mainland China and Hong Kong.
