Tian Chang Group Sets 29 May 2026 AGM; Seeks 10% Buy-back Mandate, 20% Issuance Capacity and Director Re-elections

Tian Chang Group Holdings Ltd. has issued a circular convening its Annual General Meeting (AGM) for 29 May 2026 at 11:15 a.m. in Hong Kong. Key resolutions up for shareholder approval include fresh authorisations for share repurchases and new share issues, as well as routine re-elections and auditor appointment.

General Mandates • Repurchase Mandate: Directors request authority to buy back up to 62.00 million shares, representing 10% of the 620.00 million shares in issue as at the latest practicable date of 16 April 2026. • Issue Mandate: The Board seeks approval to issue up to 124.00 million new shares, equal to 20% of the existing issued share capital. An additional extension will allow the Board to add any repurchased shares to this issuance limit.

Director Re-elections • Executive Chairman and CEO Mr Chan Tsan Lam and Independent Non-executive Director Mr Hung Chun Leung will retire by rotation and stand for re-election. • Mr Chan, founder of the Group, currently holds or is deemed interested in 412.06 million shares (66.5% of issued capital). • Mr Hung, a practising solicitor, is deemed interested in 0.50 million underlying shares through share options.

Other Business • Shareholders will vote on re-appointing Forvis Mazars CPA Limited as external auditor and authorising the Board to fix its remuneration. • The register of members will close from 26 to 29 May 2026; shareholders must lodge share transfers by 4:30 p.m. on 22 May 2026 to qualify for AGM attendance and voting rights.

Governance & Compliance All AGM resolutions will be decided by poll in line with Hong Kong Listing Rules. The Board states that full utilisation of the 10% buy-back authority would not be pursued if it materially weakens working-capital or gearing metrics.
