AInnovation sets 15 May 2026 for 2025 AGM; agenda covers mandates, governance revamp and board reshuffle

AInnovation Technology Group Co., Ltd. will convene its 2025 annual general meeting (AGM) on 15 May 2026 at 09:30 a.m. in the North Star Conference Room, 8F, Dinghao Tower Block A, Haidian District, Beijing.

Key resolutions to be put to shareholder vote include:

• Annual disclosures: consideration and approval of the 2025 annual report, the board report and the supervisory committee report.

• Auditor continuity: re-appointment of the external auditor for the 2026 financial year.

• Capital management: two special resolutions propose general mandates authorising the board to (i) repurchase shares and (ii) issue new shares.

• Governance overhaul: shareholders will decide on abolishing the supervisory committee, repealing its procedural rules, and adopting multiple amendments to the Articles of Association as well as the procedural rules for shareholder and board meetings.

• Board composition: election of Ms. Tao Ning as a non-executive director for the company’s second board session.

Proxy forms, with voting instructions for each resolution, must reach Computershare Hong Kong Investor Services by 09:30 a.m. on 14 May 2026. Completion of the form does not preclude shareholders from attending and voting in person. The meeting is expected to last half a day, and attendees will bear their own travel and accommodation costs.
