K Cash proposes 20% share issuance mandate, 10% buy-back authority and HK$0.078 final dividend

K Cash Corporation Limited has issued a circular ahead of its Annual General Meeting (AGM) to be held on 18 May 2026 in Central, Hong Kong, outlining the following key proposals:

1. Capital mandates • Share issuance: Directors are seeking a 12-month general mandate to allot and issue up to 100.00 million new shares, equivalent to 20 % of the company’s 500.00 million issued shares as at 13 April 2026. • Share repurchase: A separate mandate would allow the company to buy back up to 50.00 million shares, or 10 % of the issued share capital. Shares repurchased may be cancelled or held as treasury shares in accordance with Cayman Islands law and Hong Kong listing rules. • Extension: Subject to approval, the repurchase mandate will also extend the issuance mandate by the number of shares actually bought back.

2. Board composition • Non-executive directors Chan Wing Sze and Kan Pui Yan, and independent non-executive director Leung Ka Cheung, will retire by rotation and stand for re-election. • All three directors received HK$0.24 million in remuneration for FY 2025 and have each entered into three-year service contracts commencing from the listing date (5 December 2023).

3. Dividend proposal • A final dividend of HK7.8 cents (HK$0.078) per share for FY 2025 is recommended. • Shareholders on record as of 27 May 2026 will be entitled to the payout, which is scheduled for distribution on or around 9 June 2026.

4. Auditor • PricewaterhouseCoopers is nominated for re-appointment as external auditor until the next AGM.

5. Key dates • AGM: 18 May 2026, 10:00 a.m. • Book-closure for AGM voting: 13 – 18 May 2026. • Book-closure for dividend: 22 – 27 May 2026.

All resolutions will be decided by poll, and proxy forms must be lodged with Tricor Investor Services by 10:00 a.m. on 16 May 2026. The board recommends shareholders vote in favour of all proposals.
