Centurion Corporation outlines details for planned dividend in specie of CAREIT units

Centurion Corporation Limited announced plans to distribute units in Centurion Accommodation REIT (CAREIT) to shareholders through a dividend in specie, according to a circular released on Apr, 6 2026.

The distribution is conditional on shareholder approval at the annual general meeting scheduled for Apr, 28 2026 at Suntec Singapore Convention & Exhibition Centre.

If approved, the share transfer books and register of members will close at 5:00 p.m. on May, 18 2026 to determine entitlements. Eligible shareholders will receive one CAREIT unit for every ten Centurion shares held, with fractional entitlements disregarded.

Shareholders with registered addresses outside Singapore are classified as overseas shareholders; the board reserves the right to sell the units otherwise due to those investors and remit the net proceeds after expenses.

Centurion advised overseas shareholders to review applicable securities laws in their jurisdictions and noted that a similar sale‐and‐remittance arrangement will apply to overseas shareholders who hold physical share certificates.
