BQD Sets 28 May 2026 AGM; Proposes RMB1.80 Dividend per 10 Shares and Seeks Fresh Share-Issue Mandate

Bank of Qingdao Co., Ltd. (BQD) will convene its 2025 Annual Shareholders’ Meeting at 9:00 a.m. on 28 May 2026 at the bank’s Qingdao head office (No. 6 Qinling Road, Laoshan District). Key items on the agenda include fourteen ordinary resolutions and one special resolution.

Dividend Proposal • The Board recommends a cash dividend of RMB1.80 (tax inclusive) for every 10 shares based on FY 2025 results. • Entitlement is subject to shareholder approval. H-shareholders on the register as of 7 June 2026 will qualify. Dividends will be paid in RMB to A-shareholders and in Hong Kong dollars to H-shareholders, converted at the average RMB central parity rate for the five trading days up to and including the meeting date.

Board & Governance Resolutions • Approval of the 2025 Board Work Report, final financial statements and profit distribution plan. • Engagement of external auditors for 2026 and determination of their remuneration. • Election of Mr Zhang Shixing as an independent director for the ninth Board session. • Review of 2025 related-party transactions and pre-approval of estimated ordinary related-party transactions for 2026. • Adoption of new remuneration management measures and confirmation of 2024 remuneration settlement plus the 2026 remuneration plan for directors and senior management. • Authorisation for the Board to decide on an interim 2026 profit distribution plan.

Strategic & Capital Initiatives • Consideration of the Capital Planning for 2026-2028. • Proposal to grant the Board a general mandate to issue shares, subject to shareholder approval under a special resolution.

Key Administrative Dates • Shareholders wishing to vote must ensure H-share transfers are lodged by 4:30 p.m. on 20 May 2026; the register will be closed from 21 May to 28 May 2026. • For the dividend, H-share transfers must be lodged by 4:30 p.m. on 2 June 2026; the register will be closed from 3 June to 7 June 2026.

Shareholders may appoint proxies to attend and vote. The meeting is expected to conclude within one working day, with attendees bearing their own expenses.
