Insilico (03696) has announced that the company recently received lock-up extension commitments from Dr. Aleksandrs Zavoronkovs, the company's Chairman of the Board, Executive Director, Chief Executive Officer, Chief Business Officer, and single largest shareholder, and Dr. Ren Feng, the company's Executive Director, Chief Executive Officer, and Chief Scientific Officer, collectively referred to as the relevant shareholders.
The commitments pertain to a voluntary extension of the lock-up period for all their equity interests in the company as of the announcement date. This equity includes: 1. 42,583,500 shares directly held by Dr. Aleksandrs Zavoronkovs; and 2. 8,740,800 shares in which Dr. Ren Feng has an interest, comprising (i) 475,400 shares held through his wholly-owned company; (ii) 5,065,400 related shares to be subscribed upon the full exercise of options granted under the pre-IPO share incentive scheme; and (iii) 3,200,000 related shares to be issued upon the vesting of share awards granted under the pre-IPO share incentive scheme. These are collectively referred to as the relevant equity.
Each relevant shareholder had previously entered into a lock-up undertaking, agreeing not to directly or indirectly dispose of any shares they hold in the company during the period from the prospectus date until the date 12 months after the listing date, inclusive, known as the original lock-up period. This original lock-up period is set to expire on December 29, 2026.
According to the extension commitments, as the relevant shareholders remain optimistic about the company's long-term growth potential, core competitiveness, and industry prospects, and to support the stability of the company's share price, maintain capital market confidence, and protect the legitimate rights and interests of the company's shareholders, especially minority shareholders, each relevant shareholder has committed to extending the original lock-up period for the relevant equity by an additional six months until June 29, 2027, inclusive.
During this extended lock-up period, the relevant shareholders will not directly or indirectly dispose of or otherwise reduce their holdings of the relevant equity in any manner.
