TS LINES Schedules 21 May 2026 AGM; Plans US$0.10 Final Dividend, Director Re-elections and 10% Share Buy-back Mandate

T.S. Lines Limited (TS LINES) will hold its Annual General Meeting on 21 May 2026 at 10:00 a.m. at Chairman’s Place, New World Millennium Hong Kong Hotel, Tsim Sha Tsui East. Key matters to be tabled include:

• Financial Statements and Dividend – Shareholders will vote on acceptance of the audited consolidated results for the year ended 31 December 2025. – A final dividend of US$0.10 per share for FY 2025 is proposed.

• Board Composition – Re-election of Executive Directors Mr Chen Shao-Hsiang and Mr To Hung-Lin, and Independent Non-Executive Director Mr Wu Youn-Ger. – Authorisation for the Board to set directors’ remuneration.

• Auditor Re-appointment – Renewal of KPMG as external auditor with the Board authorised to fix remuneration.

• Share Capital Mandates – Buy-back mandate: authority to repurchase up to 10% of issued shares (excluding any treasury shares) during the mandate period. – Issuance mandate: authority to allot and issue new shares, or dispose of treasury shares, up to 20% of issued share capital, with a further extension permitting an additional amount equivalent to shares repurchased under the buy-back mandate.

Administrative Details – Proxy forms must be lodged with Computershare Hong Kong Investor Services by 10:00 a.m. on 19 May 2026. – The register of members will be closed from 18 May to 21 May 2026 (both days inclusive); share transfers for AGM eligibility must be registered by 4:30 p.m. on 15 May 2026.

All AGM resolutions will be decided by poll, and results will be published on the Hong Kong Stock Exchange and company websites.
