CR Mixc Lifestyle unveils RMB0.509 final dividend, seeks auditor switch to Deloitte ahead of 8 Jun 2026 AGM

China Resources Mixc Lifestyle Services Limited will hold its 2026 annual general meeting (AGM) on 8 June 2026 in Shenzhen. Key resolutions and data points are as follows:

Dividend proposal • Board recommends a final dividend of RMB0.509 per share for FY 2025, versus RMB0.643 a year earlier. • Total payout would reach roughly RMB1.16 billion, calculated on the current 2,282.50 million issued shares. • Shareholders may elect to receive the dividend in RMB and/or HKD; the final exchange rate will be the average CNY central parity rate for the five business days up to the AGM. • Record date: 17 June 2026; payment targeted for around 31 July 2026. Currency election forms must be returned by 15 July 2026.

Capital mandates • Directors seek fresh authority to issue new shares (including sale/transfer of treasury shares) of up to 20% of issued share capital—equivalent to a maximum 456.50 million shares—plus any shares repurchased. • A separate mandate would allow repurchase of up to 10% of issued shares, or 228.25 million shares, during the mandate period.

Director elections • Five directors stand for re-election: non-executive directors Zhao Wei and Guo Ruifeng; executive directors Wang Lei and Nie Zhizhang; and independent non-executive director Lo Wing Sze.

Auditor change • KPMG will retire at the AGM after three years in post. • The Board, with Audit Committee endorsement, proposes appointing Deloitte Touche Tohmatsu as new auditor. Estimated FY 2026 audit fee: RMB4.10 million–4.70 million.

Key dates • Share transfer books close 3–8 June 2026 (inclusive) for AGM eligibility. • Books close 17–23 June 2026 (inclusive) for dividend entitlement.

If approved, all mandates and appointments will take effect following shareholder votes at the AGM.
