Shuangdeng Group Co., Ltd. (Shuangdeng) has scheduled its 2026 first extraordinary general meeting (EGM) for 10 September 2026 at 10:00 a.m., to be held at No. 666 Tianmu West Road, Jiangyan Economic Development Zone, Taizhou, Jiangsu Province, PRC.
The Board will ask shareholders to approve two special resolutions:
1. H-Share Repurchase Mandate • Scope: Repurchase of H shares using self-owned or self-raised funds up to 10% of the total H shares in issue (excluding any treasury shares) as at the EGM approval date. • Duration: From the EGM approval date until the earlier of (i) the next annual general meeting or (ii) any revocation/variation of the mandate by shareholders. • Authority: The Board may determine timing, price, quantity, cancellation or treasury treatment of repurchased shares, adjust plans in line with regulatory changes, amend the Articles of Association to reflect any capital reduction, and delegate execution to a Director or authorised person.
2. H-Share Issuance Mandate • Scope: Issue, place or transfer (including treasury shares) H shares, warrants, convertible bonds, options or similar rights representing up to 20% of the total shares in issue (excluding any treasury shares) as at the EGM approval date. • Duration: Identical to the repurchase mandate timeframe. • Authority: The Board may set issuance terms—including class, volume, pricing, timetable and use of proceeds—execute all related documents, handle regulatory filings and amend the Articles accordingly, with power to delegate these tasks.
Voting Method and Eligibility • All resolutions will be decided by poll in accordance with Hong Kong Listing Rules. • The H-share register will close from 7 September to 10 September 2026 (both days inclusive). Shareholders on record as of 10 September 2026 are entitled to attend and vote. • Proxy forms must reach Computershare Hong Kong Investor Services Limited or the Company’s PRC office at least 24 hours before the meeting.
Board Composition As of the notice date (21 August 2026), the Board comprises three executive directors—Dr. Yang Rui (Chairman & CEO), Dr. Yang Baofeng and Ms. He Rong; three non-executive directors—Mr. Qian Shan’gao, Mr. Lou Zhiqiang and Ms. Hu Shuxuan; and three independent non-executive directors—Dr. Yin Junming, Dr. Wang Jin and Dr. Wang Xi.
