Zheneng Jinjiang Environment granted SGX extension on board independence rule

Zheneng Jinjiang Environment Holding Company Limited said on Jul, 31 2026 that the Singapore Exchange Securities Trading Limited has given the group until Oct, 29 2026 to meet Listing Manual Rule 210(5)(c), which requires at least one-third of its board to be independent directors.

The company sought more time because two long-serving independent directors were re-designated as non-independent after the Apr, 29 2026 annual general meeting, and discussions on a possible share transaction are still in progress. Although it appointed one new independent director at that meeting, the board still falls short of the minimum requirement.

SGX noted that non-executive directors remain a majority on the board and that the audit committee continues to comply with independence rules. The exchange’s approval is conditional on the company disclosing the extension details, reasons and compliance status, all of which it has done as of this announcement.

Zheneng Jinjiang Environment said it will update investors if there are further material developments.
