Wharf Real Estate Investment Company Limited (Wharf REIC, 01997) has named Mr. Richard Yat Sun Tang, GBS, JP, as an additional Independent Non-executive Director with effect from 2 July 2026. The appointment expands the Board to four executive directors and seven independent non-executive directors.

Mr. Tang, aged 73, is chairman and managing director of Richcom Company Limited, chairman of King Fook Holdings Limited, and an executive director of Miramar Hotel and Investment Company, Limited—both listed in Hong Kong. He holds an MBA from the University of Santa Clara and a Bachelor of Science in Business Administration from Menlo College, California. The Hong Kong SAR Government awarded him the Gold Bauhinia Star in 2023. He previously served as an INED of The Wharf (Holdings) Limited until May 2026.

Wharf REIC noted a cross-directorship between Mr. Tang and existing INED Mr. Alexander Siu Kee Au at Miramar but stated the relationship is limited to their Miramar roles and does not compromise independence. Mr. Tang has confirmed compliance with all independence criteria under Listing Rule 3.13 and reported no shareholding, business ties, or connected-person relationships with the Group.

Compensation for Mr. Tang is set at HK$0.30 million per annum, identical to fees paid to other non-chairman directors. No service contract will be established, and no further emoluments are payable. In line with the Company’s articles of association, his term will run until the annual general meeting scheduled for around May 2027.

Following this appointment, Wharf REIC’s Board comprises Mr. Stephen T. H. Ng, Mr. Paul Y. C. Tsui, Ms. Y. T. Leng and Mr. Horace W. C. Lee as executive directors, alongside INEDs Mr. Alexander S. K. Au, Ms. Lai Yuen Chiang, Mr. Andrew K. Y. Leung, Mr. Desmond L. P. Liu, Mr. R. Gareth Williams, Dr. Glenn S. Yee, Professor E. K. Yeoh and the newly appointed Mr. Richard Yat Sun Tang.
