Shimao Group Holdings Limited will convene its 2026 annual general meeting online at 11:00 a.m. on 25 June 2026. Shareholders will vote on five ordinary items of business and three mandate-related resolutions.
Key ordinary items: 1. Adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025. 2. Re-election of Executive Director Hui Sai Tan, Jason, and Independent Non-executive Directors Lyu Hong Bing and Lam Ching Kam, together with authorisation for the board to set directors’ remuneration. 3. Re-appointment of Zhonghui Anda CPA Limited as external auditor, with the board authorised to determine its fees.
Special business focuses on capital management flexibility. The board seeks authority: • To allot and issue new shares or convertible securities up to 20% of the company’s issued share capital as at the meeting date. • To repurchase shares on the Hong Kong Stock Exchange or other recognised bourses up to 10% of issued share capital. • To extend the 20% issue mandate by the volume of any shares repurchased under the 10% buy-back mandate.
The record date for voting entitlement is 18 June 2026. Valid proxy instructions must be lodged, either with Tricor Investor Services Limited or via the Vistra eVoting Portal, at least 48 hours before the meeting. Registered and non-registered shareholders may attend, vote and submit questions electronically.
The board stated it currently has no immediate plans to issue new shares or repurchase existing shares under the proposed mandates.
