The transaction will be conducted under the US Reg-S offshore placement rules, targeting only non-US institutional investors based outside the United States, with no participation from US-based investors and no requirement for SEC registration in the US. The funds will flow directly into the company's balance sheet, but this will result in passive dilution of existing shareholders' equity. Retail investors in Hong Kong and A-share investors in mainland China are not eligible to participate; the placement is exclusively reserved for overseas sovereign wealth funds and large global asset management institutions. It is important to note that the final placement price, discount margin, number of shares to be issued, allocated institutions, and lock-up period have yet to be determined, with the transaction's completion subject to bookbuilding and prevailing market conditions.
