Solomon Systech Calls 18 Jun 2026 AGM; Seeks 10% Buy-back Mandate, 20% Issuance Capacity and Re-election of Four Directors

Solomon Systech (International) Limited has issued a circular convening its Annual General Meeting (AGM) for 18 June 2026 at 14:00 in Hong Kong Science Park.

Key proposals to be put before shareholders include:

• Share repurchase authority: a fresh mandate to buy back up to 10% of issued shares—equivalent to roughly 0.25 billion shares out of the current 2.50 billion outstanding.

• Share issuance authority: a mandate to allot and issue new shares up to 20% of issued share capital, with an extension allowing the aggregate number to be increased by shares actually repurchased under the buy-back mandate.

• Board changes: proposed re-election of Executive Director and CEO Wang Wah Chi, Raymond; Independent Non-executive Directors Dr. Kwok Hoi Sing and Mr. Chan Chi Kong; and Non-executive Chairman Mr. Yang Kun, who joined the board in July 2025 to fill a casual vacancy.

• Auditor: re-appointment of Ernst & Young as external auditor for the next financial year.

Administrative details:

• Register of Members will be closed 15–18 June 2026; share transfers must be lodged by 16:30 on 12 June 2026 to qualify for AGM attendance and voting.

• Proxy forms must be submitted to Tricor Investor Services by 14:00 on 16 June 2026.

• All resolutions will be decided by poll, and results will be published on HKEXnews and the company website.

The board states it currently has no plan to exercise either the repurchase or issuance mandates immediately.
