China CBM Schedules 27 May 2026 AGM; Share Issuance and Buy-Back Mandates, Director Re-elections and Auditor Renewal to Be Voted

China CBM Group Company Limited will hold its annual general meeting on 27 May 2026 at 11:00 a.m. in Qinchi Town, Yangcheng County, Shanxi Province, PRC.

Key resolutions to be tabled include:

• 2025 Financial Statements Shareholders will be asked to receive and consider the audited consolidated financial statements and the directors’ and auditors’ reports for the year ended 31 December 2025.

• Board Composition – Re-election of executive director Mr Wang Zhong Sheng. – Re-election of independent non-executive directors Mr Lau Chun Pong and Mr Wang Zhi He. – Authorisation for the board to set directors’ remuneration.

• Auditor Appointment Renewal of KTC Partners CPA Limited as external auditor with authority for the board to determine its remuneration.

• General Share Issuance Mandate Directors seek authority to allot and issue shares up to 20% of the company’s issued share capital during the mandate period, with an additional extension equivalent to the nominal amount of any shares repurchased under a separate mandate.

• Share Buy-Back Mandate Authorisation for the company to repurchase shares on the open market up to 10% of issued share capital during the mandate period.

• Extension of Issuance Mandate Conditional approval to extend the general issuance mandate by the amount of shares bought back under the repurchase mandate.

Proxy forms must be lodged with Tricor Investor Services Limited at least 48 hours before the meeting. As at 30 April 2026, the board comprises four executive directors, one non-executive director and three independent non-executive directors.
