Meituan Completes US$1.48 Billion Early Redemption of 2028 Zero-Coupon Convertible Bonds

Meituan disclosed that bondholders have exercised the April 27 2026 put option on its zero-coupon convertible bonds due 2028, triggering a partial early redemption totaling US$1.48 billion, or 101.28% of the principal amount.

After settling the requests, only US$18.60 million of the 2028 Bonds remain outstanding, significantly reducing the company’s future potential conversion and repayment obligations linked to this series.

The put option was embedded in the bond’s original April 2021 issuance terms, granting investors the right to redeem their holdings at a premium on the specified Put Option Date. All redemption procedures have now been completed.

Meituan stated that any further developments regarding the 2028 Bonds will be announced in accordance with Hong Kong Stock Exchange requirements.
