TATA Health clarifies auditors’ disclaimer, anticipates clean opinion in FY2027

TATA Health International Holdings Limited released a supplemental announcement on 9 June 2026 addressing the disclaimer of opinion issued by auditor HLB on the Group’s financial statements for FY2023–FY2025.

Management stated that HLB has provided written confirmation indicating the disclaimer is expected to be fully removed in the financial year of 2027. The auditor’s reservations stem from:

1. Profit or loss distortion in FY2025 arising from the disposal of certain subsidiaries, which affects comparability in subsequent consolidated profit and cash-flow statements for FY2026. 2. Full impairment in FY2024 of the remaining balance of loans to an associate, eliminating any financial impact on the closing balances as at 31 December 2025.

After review, the Board acknowledged HLB’s rationale and concurred with the anticipated timeline for resolution.

The Audit Committee scrutinised the disclaimer, discussed remedial steps with HLB, and aligned with management’s assessment. The committee has instructed management to undertake all necessary measures to ensure no disclaimer is issued for FY2027.

The Board currently comprises one executive director (Zhang Ming Qi), one non-executive director (Chen Qi) and four independent non-executive directors (Huang Lin, Li Liang, Du Jianfeng and Tan Kaiguo).
