COWELL Repurchases 0.049% of Outstanding Shares, Adds 420,000 Shares to Treasury

Cowell e Holdings Inc. (abbreviated “COWELL”) disclosed that it bought back 420,000 ordinary shares on 8 October 2026 through on-market transactions on the Hong Kong Stock Exchange. The repurchase price ranged between HKD 21.84 and HKD 22.10 per share, representing a volume-weighted cash outlay of HKD 9.24 million.

Following the transaction, COWELL’s issued share capital (excluding treasury shares) decreased to 864.73 million shares from 865.15 million, a reduction of 0.049%. The treasury-share balance rose to 5.33 million, while the company’s total issued shares remained unchanged at 870.05 million.

The buyback forms part of the repurchase mandate approved on 28 May 2026, which authorises the company to repurchase up to 86.83 million shares. Including the latest transaction, COWELL has repurchased 5.33 million shares under this mandate, equivalent to 0.61% of the shares outstanding on the mandate’s approval date.

Under Hong Kong listing rules, COWELL is subject to a 30-day moratorium on issuing new shares or selling treasury stock, lasting until 7 November 2026.
