Times China Announces 3.40 Million New Shares Issued via Convertible Bond Conversions

Times China Holdings disclosed a change in its share capital following the conversion of two tranches of its Zero-Coupon Mandatory Convertible Bonds (MCB I and MCB II), both originally issued on 28 November 2025 and maturing in 2027.

On 14 August 2026, 2.84 million new ordinary shares were allotted from the conversion of MCB I, representing 0.09 % of the company’s 2.99 billion issued shares before the event. An additional 0.56 million shares were issued from MCB II conversions the same day, adding a further 0.02 %. There were no changes to treasury shares.

Following these transactions, Times China’s total issued share count rose to 2.996 billion shares from 2.993 billion, marking a combined incremental increase of 0.11 %. All procedures were authorised by the board and carried out in accordance with Hong Kong Stock Exchange Main Board Rule 13.25A, as confirmed by Company Secretary Yu Wing Sze.
