Kelfred: Conquer Holding Divests 147.59 Million Shares, Triggering Change of Substantial Shareholder

On 24 July 2026, Conquer Holding Limited—previously a substantial shareholder of Kelfred Holdings Limited—executed a sale-and-purchase agreement to dispose of its entire holding of 147.59 million Kelfred shares, equivalent to 29.59% of the company’s issued share capital.

Following completion of the transaction, Conquer Holding no longer holds any interest in Kelfred, resulting in an immediate change in the company’s substantial shareholder structure. Conquer was owned 2% by non-executive director Ms. Chan Yin Wah and 49% each by executive directors Mr. Kwok Kwan Fai and Mr. Kwok Kwan Yu.

The board stated that the share transfer is not expected to adversely affect Kelfred’s core eyewear business. Management reiterated its commitment to exploring additional opportunities to diversify the group’s business and revenue streams.

Kelfred’s board composition remains unchanged, with Mr. Kwok Kwan Fai serving as chairman and executive director alongside executive directors Mr. Kwok Kwan Yu and Mr. Liu Zhen; non-executive directors Mr. Kwok Mau Kwan and Ms. Chan Yin Wah; and independent non-executive directors Mr. Chu Kin Ming, Mr. Hon Ming Sang and Mr. Leung Ka Tin.
