ImmuneOnco Biopharmaceuticals (Shanghai) Inc. (ImmuneOnco) has signed a Capital Increase Agreement dated 6 August 2026 to strengthen ImmuneCare Biopharmaceutical (Shanghai) Co., Ltd., its non-wholly-owned subsidiary focused on metabolic and rare-disease therapeutics.
Under the agreement, three external investors—Jiaxing Zhangke Lingyi Shengke Qihang Ventures L.P., Shouzhou Xinjie Chuangyuan Enterprise Management L.P., and individual investor Mr. Wang Xueyan—will subscribe for a combined RMB50.00 million in cash for 465,000 yuan of newly issued registered capital, equating to 15.83 % of the subsidiary’s enlarged equity. Concurrently, ImmuneOnco will convert an outstanding intra-group loan of RMB15.86 million (principal plus accrued interest) into 147,498 yuan of additional registered capital at the same subscription price.
Post-transaction, equity interests in ImmuneCare will be: • ImmuneOnco: 68.34 % • Employee platform Jiaxing Changxin: 15.83 % • Shengke Qihang: 6.33 % • Xinjie Chuangyuan: 6.33 % • Mr. Wang Xueyan: 3.17 %
ImmuneCare will remain a consolidated, non-wholly-owned subsidiary of ImmuneOnco. The board highlighted that the deal enhances the subsidiary’s capital base while introducing sector-specialist investors whose resources and networks are expected to support ongoing R&D.
All applicable percentage ratios under Hong Kong Listing Rule 14.07 remain below the 5 % threshold—both individually and when aggregated with a June 2026 employee shareholding capital increase—rendering the transactions exempt from further reporting, announcement, or shareholder approval requirements.
