PayPay Corp, the operator of a Japanese payment application under SoftBank, announced the terms for its Initial Public Offering on Monday. The company plans to raise $1 billion by issuing 55 million American Depositary Shares, with a price range set between $17 and $20 per ADS. Based on the midpoint of this proposed range, the company's market valuation would reach approximately $12.4 billion. PayPay Corp intends to list on the Nasdaq exchange under the ticker symbol "PAYP."
The $1 billion fundraising target would position this IPO as the largest U.S. listing by a Japanese issuer on record, surpassing the dual listing completed by Line Corporation in 2016, which raised $722 million in the U.S. and $427 million in Japan. Reports from less than a month ago indicated that PayPay Corp had initially planned to seek funding at a valuation exceeding $19.6 billion. However, macroeconomic headwinds and concerns about AI-driven disruption have recently pressured fintech stocks, with most fintech IPOs from the past year currently trading below their offering prices.
PayPay Corp had originally targeted a December listing last year, but the longest government shutdown in U.S. history delayed regulatory approvals, prompting the company to postpone its planned market debut. This IPO will mark the first U.S. listing of a majority-owned SoftBank investment since the high-profile debut of chip designer Arm Holdings in 2023. SoftBank is currently monetizing assets to fund its expanding artificial intelligence initiatives.

The company encourages reduced cash usage by offering cashback rewards through its mobile payment application. In just over seven years since its founding, PayPay Corp has expanded rapidly to become one of Japan's most widely used payment platforms, with approximately 72 million registered users as of December 31. While Japan was historically known for its cash-dominated economy, the proportion of cashless payments has increased significantly in recent years. Nevertheless, Japan still lags behind other countries in payment technology adoption, indicating substantial growth potential. Financial data shows PayPay Corp generated $2.3 billion in revenue during the twelve-month period ending December 31.
