Flowing Cloud Technology Ltd (Flowing Cloud) will convene its 2025 annual general meeting on 9 June 2026 at 10:00 a.m. in Beijing’s Jingyuan Art Center, Guangqulu No. 3, Chaoyang District. Shareholders of record are invited to attend or vote by proxy on seven ordinary resolutions that set the company’s governance and capital-management agenda for the coming year.
Key business includes consideration and adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the reports of the Board and external auditor.
The meeting will decide on the re-election of four directors: executive directors Ms Xu Bing and Mr Li Yao, and independent non-executive directors Ms Li Yue and Mr Li Shaojie. The Board also seeks authority to determine directors’ remuneration.
Zhonghui ANDA CPA Limited is nominated for re-appointment as auditor, with its fees to be set by the Board.
Capital-management proposals comprise: 1) a share-repurchase mandate of up to 10% of the company’s issued share capital (excluding any treasury shares), 2) an issuance mandate authorising the Board to allot, issue or otherwise deal with additional shares—including the sale or transfer of treasury shares—up to 20% of issued share capital, and 3) an extension allowing the issue mandate to be increased by the number of shares repurchased under the 10% mandate.
Registered shareholders may appoint proxies; completed proxy forms and any related authorities must reach Tricor Investor Services Limited by 10:00 a.m. on 7 June 2026, 48 hours before the meeting. Each share carries one vote. Holders of treasury shares will abstain from voting on all resolutions.
