Bank of Jiujiang Co., Ltd. will hold its 2025 Annual General Meeting (AGM) at 10:00 a.m. on 12 June 2026 in the conference room on the 4th floor of Bank of Jiujiang Mansion, Jiujiang, Jiangxi Province, PRC.
Key agenda items are as follows:
1. Board composition • Shareholders will vote on the election of 10 directors to form the bank’s eighth Board session, comprising two executive directors (Zhou Shixin and Xiao Jing), four non-executive directors (Luo Feng, Shi Zhishan, Chen Wenjun and Xu Zhixin), and four independent non-executive directors (Wang Wanqiu, Zhang Yonghong, Tian Li and Guo Jiequn).
2. 2025 operating results • Resolutions include the 2025 Board of Directors Report, the 2025 Financial Statements and the 2025 Profit Distribution Plan. • The meeting will also consider the 2025 Evaluation Report covering directors, former supervisors and senior management, prepared by the Board’s Audit Committee.
3. Audit engagement • Shareholders will decide on the appointment of accounting firms for the 2026 financial year.
4. Strategic corporate action (special resolution) • The AGM will vote on a proposal to absorb and merge Jiuyin County Banks in Jiangxi Province.
Shareholders may vote in person or by proxy; completed proxy forms must reach the bank’s designated addresses no later than 10:00 a.m. on 11 June 2026. Joint holders may have only the first-named shareholder on the register vote if attending simultaneously. Completion of a proxy form does not prevent personal attendance and voting at the AGM, in which case previously granted proxy authority is automatically revoked.
