XJ INTL HLDGS Announces Sale of Sichuan Yonghe Education Investment and Its Subsidiaries

XJ INTL HLDGS (01765) issued an announcement regarding a share transfer agreement signed on July 31, 2026. The buyer, Qizhi Guoxin (Sichuan) Education Technology, the seller, Sichuan Hope Education Industry Group, the target company, Sichuan Yonghe Education Investment, and the buyer's guarantor entered into the agreement.

Under the terms, the seller conditionally agreed to transfer, and the buyer conditionally agreed to acquire, 100% equity of the target company and its affiliated entities. The seller will receive a total consideration of RMB 396 million for the disposal, comprising an equity consideration of RMB 377 million and net shareholder debt of RMB 18.52 million, subject to adjustments per the agreement's terms and conditions. The buyer's guarantor has agreed to provide irrevocable joint and several liability guarantees for the obligations and liabilities of the buyer and the target entities under the share transfer agreement.

This move aligns with the company's strategic transformation, shifting from pursuing scale and quantity in education to focusing on high-quality operations, concentrating resources on enhancing quality and excellence. Additionally, it responds to national policy encouraging multi-level social capital participation in education, aiming to recover funds to support the company's sustainable development.
