South Manganese Investment Limited issued a notice on 15 April 2026 convening its annual general meeting for 11:00 a.m. on 15 May 2026 at Event Space C, 5/F, United Centre, 95 Queensway, Hong Kong.
The meeting will ask shareholders to receive the audited financial statements, directors’ report and independent auditors’ report for the year ended 31 December 2025.
Director-related items include the re-election of eight current board members—Zhang He, Xu Xiang, Cui Ling, An Wei, Zhan Haiqing, Ming Xianquan, Wan Weihua and Lo Sze Hung—and authorisation for the board to fix directors’ remuneration.
Audit matters on the agenda comprise the re-appointment of RSM Hong Kong as external auditor and authorisation for the board to set its fees.
Three ordinary resolutions will be put forward as special business: 1. A general mandate permitting the board to allot, issue or deal in additional shares and related securities up to 20 % of the company’s issued share capital during the mandate period. 2. Authority for the company to repurchase its own shares on recognised exchanges up to 10 % of issued share capital. 3. Conditional extension of the issuance mandate by the number of shares actually repurchased under the buy-back mandate, capped at an additional 10 %.
Shareholders recorded on the register by 4:30 p.m. on 11 May 2026 will be eligible to attend and vote; the register will be closed from 12 May 2026 to 15 May 2026 (both days inclusive). Voting will be conducted by poll, and proxy forms must be lodged with Computershare Hong Kong Investor Services at least 48 hours before the meeting.
The board is currently composed of nine executive directors, one non-executive director and five independent non-executive directors. No gifts, food or beverages will be distributed at the AGM.
