CHABAIDAO (Sichuan Baicha Baidao Industrial Co., Ltd.) has issued a circular convening its first extraordinary general meeting (EGM) of 2026 for 30 October 2026 in Chengdu. Key resolutions include the adoption of a new equity incentive scheme for H-share employees and the declaration of an interim dividend.
Incentive Plan Highlights • Scope & Tenor: The proposed “2026 H Share Incentive Plan” will run for 10 years from its adoption date. • Instruments: Awards may take the form of share options or restricted share units (RSUs), sourced from (i) newly issued H shares, (ii) treasury shares (if any) or (iii) on-market purchases via a trustee. • Size: The plan mandate limit is set at 10% of the company’s issued share capital (excluding treasury shares) on the adoption date—equivalent to 147.76 million H shares. • Participants: Directors, senior management and employees of the company and its subsidiaries, subject to exclusions such as regulatory sanctions or breaches of company rules. • Pricing: – Options – exercise price no lower than the higher of the share’s closing price on the grant date or the average closing price of the five preceding trading days. – RSUs – purchase price may be nil or a cash amount set by the board, reflecting market price and recipient contribution. • Vesting: Standard vesting period of at least 12 months; shorter periods allowed only in limited cases (e.g., performance-based vesting, grants made in administrative batches, death/disability). • Performance & Clawback: Vesting may be tied to financial, operational, project or individual KPIs. Awards can be clawed back for misconduct, breach of non-compete, material misstatement of accounts or other serious violations. • Governance: Any grant causing an individual’s awards in a 12-month window to exceed 1% of issued shares, or 0.1% for directors/substantial shareholders/INEDs, requires shareholder approval. No trustee has been appointed; any future appointment will comply with HKEX Chapter 17 provisions.
Board Authorisation Shareholders will also vote on granting the board and designated authorised persons broad powers to implement and amend the plan, issue new H shares or transfer treasury shares, handle regulatory filings and appoint a trustee if required.
Interim Dividend Proposal The board proposes a cash dividend of RMB 0.15 per share for 1.48 billion H shares, amounting to approximately RMB 221.65 million. Payment is scheduled for 30 November 2026, subject to shareholder approval. PRC withholding tax will apply: 10% for most Hong Kong and Macau resident individuals; varying treaty rates or 20% in other cases.
