Thakral Corporation’s AGM Approves All Resolutions, Renews Share Buyback Mandate

Thakral Corporation Ltd told shareholders at its 33rd annual general meeting on Apr, 30 2026 that every motion on the agenda was passed by an overwhelming majority, clearing the way for fresh board authority on share issues, a renewed share-buyback mandate and updated director remuneration.

The meeting, held at the PARKROYAL COLLECTION Marina Bay, adopted the directors’ statement and audited financial statements for the year ended Dec, 31 2025 with 100 per cent of the 82.0 million votes cast in favour.

Shareholders re-elected non-independent non-executive director Bikramjit Singh Thakral, who secured 99.98 per cent support (84.9 million votes for, 15,100 against).

Two fee-related resolutions were cleared: an additional 0.15 million Singapore dollars for FY2025 to recognise higher corporate-exercise workload, and a fee cap of 0.48 million Singapore dollars for FY2026, both backed by 99.98 per cent and 100 per cent of votes respectively.

Auditor Deloitte & Touche LLP was re-appointed with 100 per cent approval (84.9 million votes for, 1,100 against). Shareholders also renewed the general mandate allowing directors to issue new shares and convertible securities up to 50 per cent of issued capital, of which 20 per cent may be issued on a non-pro-rata basis; the resolution passed with 99.82 per cent support.

The interested-person transactions mandate—excluding votes from related Thakral family interests—was renewed with full approval. A 10 per cent share-buyback mandate was also renewed, receiving 100 per cent support (84.9 million votes for, 300 against). Management said it repurchased about 0.9 million shares in FY2025 and currently holds roughly 2.3 million treasury shares; these were recently placed out to Lion Global Investors and ICH Synergrowth Fund.

During a post-meeting briefing, executives signalled that growth efforts will concentrate on the group’s seven existing DJI distribution markets, alongside plans to open about 20 new Lifestyle Division outlets over the next two to three years. The Lifestyle business will continue to prioritise prestige fragrances—including the newly added Miu Miu line—while remaining open to selective skincare opportunities.

The board said the renewed mandates equip Thakral Corporation with flexibility to pursue strategic initiatives and manage capital efficiently as it positions for its next phase of expansion.
